Article 1. Definitions
- Expat Group: the party using these Terms and Conditions, namely the sole proprietorship Expat Group (Chamber of Commerce 72301066).

Availability: Monday, Wednesday and Thursday from 9:00 to 17:00. Tuesday and
Friday by appointment. - The Client: the (prospective) contracting party of Expat Group.
- Consumer: the Client if that Client is a natural person not acting in the exercise of a profession or business. To the extent that these Terms and Conditions contain a specific provision for Consumers, that specific provision shall apply to the Consumer instead of the general provision. For the remainder, the general provisions for the Client also apply to Consumers.
- Agreement: the arrangements made between Expat Group and the Client.
- Terms and Conditions: these terms and conditions.
Article 2. Formation of the Agreement
- If the Client explicitly or implicitly accepts a proposal (such as a quotation) from Expat Group, an Agreement is formed in accordance with the content of that This also applies if the proposal is a response to a request from the Client.
- If Expat Group sends an assignment or order confirmation to the Client, an Agreement is formed in accordance with the content of that confirmation.
- If a document has been signed (a deed), an Agreement is formed in accordance with the content of that deed.

- Each Agreement shall be regarded as a separate agreement unless otherwise agreed. No continuing relationship requiring termination shall arise.
- If demonstrably a continuing performance agreement exists, it may be terminated by Expat Group at any time subject to a notice period of three months, calculated from the end of the month in which notice is No right to compensation shall arise.
- Deviations from or additions to the Agreement are only valid if recorded in Expat Group may unilaterally amend these Terms and Conditions. If this leads to a material change to the Agreement, the Consumer may dissolve the Agreement.

Article 3. Duration of the Agreement
- If no term is stated in the Agreement, it shall be concluded for an indefinite period and may be terminated subject to one month’s notice.

Article 4. What can you expect from Expat Group?
- Expat Group shall perform as may reasonably be expected, but provides no guarantees regarding the quality or characteristics of the result unless an explicit guarantee is included in the Agreement.
- The performance of Expat Group may deviate slightly from models, examples or technical data previously shared. Such deviations do not constitute shortcomings.
- If a warranty obligation exists, the Client must give Expat Group written opportunity to remedy a defect within a reasonable time. Expat Group may determine how this is done.
- The Client may not rely on a warranty in situations such as:
- If the Client has not paid in full;
- In case of normal wear and tear or improper use;
- If the cause lies outside Expat Group’s control;
- If modifications have been made without written permission from Expat Group.
- Expat Group may have work (partly) performed by third parties.
- Unless otherwise agreed in writing, Expat Group undertakes an obligation of effort (not a result obligation) and shall perform the work to the best of its knowledge and ability.
- Delivery or performance periods are not strict deadlines unless expressly agreed in writing. The period commences only after all necessary information has been received by Expat Group.
Article 5. What do we expect from you as Client?
- The Client shall ensure that all information necessary or relevant for the execution of the Agreement is provided to Expat Group in a timely, complete and accurate manner, both at request and on its own initiative.
- The Client shall pay invoices from Expat Group within thirty days of the invoice date and further:
- In euros;
- Without set-off or suspension, unless the Client is a Consumer;
- To the bank account stated on the invoice.
- The price stated in the Agreement excludes (and may therefore be increased by):
- Transport or shipping costs;
- Travel or call-out costs;
- Packaging costs;
- VAT;
- Price increases imposed by a supplier of Expat Group;
- Costs incurred due to compliance with (amended) regulations or government action;
- Cost increases due to indexation.
- Expat Group is entitled to annually index prices based on the Consumer Price Index (CPI, all households series, 2015=100) published by Statistics Netherlands (CBS). If this index is not representative of the nature of the Agreement, Expat Group may apply another CBS index that better reflects it. If the applied index is replaced or discontinued, a comparable successor index may be used.
- If a price change occurs within three months after conclusion of the Agreement, the Consumer has the right to dissolve the Agreement.
- Unless otherwise agreed, work is carried out on an hourly basis. The hourly rate may depend on the function and experience of an employee and is at least €250 (including VAT). Additional costs are charged separately and advances are settled in the final invoice.
- All additional costs or price increases resulting from additions or amendments to the Agreement at the Client’s request shall be borne entirely by the Client.
- Costs arising from unforeseen circumstances that Expat Group could not reasonably have anticipated shall also be borne by the Client.
- At Expat Group’s request, the Client must pay in another manner than in money, for example by goods (payment in kind).
- The payment term is a term “fixed for performance” within the meaning of Article 6:83 sub a of the Dutch Civil Code. If the Client fails to pay on time, the following applies automatically (without notice of default):
- Interest of 1.5% per month on the outstanding amount;
- Collection costs of 15% with a minimum of €250;
- If legal proceedings are necessary, the Client shall also reimburse the actual costs thereof.
Expat Group may also claim performance and/or damages under the law.
- If a Consumer fails to pay on time, statutory interest, extrajudicial collection costs and legal costs under the law shall be owed.
- Payments shall first be applied to costs and interest and then to the oldest outstanding invoices, even if the Client states otherwise.
- If Expat Group performs work at the Client’s location, the location must be safe, comply with occupational health and safety regulations and have the necessary facilities.
Article 6. Quality and Complaints
- Complaints regarding performed work or invoices must be submitted in writing or by email within 14 days after performance or receipt of the invoice. Failing this, the work shall be deemed accepted.
- All other complaints must be submitted within 7 days after discovery or when the defect should reasonably have been discovered.
- If the delivered goods have already been processed or transferred to third parties, they are deemed approved and Expat Group is no longer liable.
- If a complaint is justified, Expat Group may choose between replacement, repair or a reasonable price reduction. The Client is bound by this choice.
Article 7. Force Majeure
- Force majeure (as referred to in Article 6:75 of the Dutch Civil Code) includes circumstances beyond Expat Group’s control preventing performance, including natural disasters, fire, strikes, pandemics, government measures, supplier problems, war, transport issues or illness of staff.
- In case of force majeure:
- The Client may not dissolve the Agreement;
- Expat Group’s obligations are suspended;
- The Client has no right to compensation.
- If the force majeure situation lasts longer than two months, Expat Group may fully or partially dissolve the Agreement.
Article 8. Intellectual Property
- The Client acquires no intellectual or industrial property rights of Expat Group. These remain the property of Expat Group.
- New rights arising from the execution of the Agreement shall belong to Expat Group. The Client shall cooperate free of charge if formalities are required.
- The Client may use information received only for the purpose for which it was provided.
- Unless agreed otherwise in writing, the Client may not:
- Use Expat Group’s trade name or other rights;
- Modify delivered goods or results;
- Remove labels or add its own brands;
- Use materials for promotional purposes;
- Share information with third parties unless necessary and subject to confidentiality.
Article 9. Penalty Clause
- If the Client acts in violation of Article 8, the Client owes a penalty of €2,500 per violation plus €250 for each day the violation continues.
- Expat Group may also claim damages or performance in addition to the penalty. Article 6:92 of the Dutch Civil Code is excluded.
Article 10. Privacy
- The Client warrants that personal data provided have been lawfully obtained and processed.
- The Client shall fully indemnify Expat Group against claims arising from unlawful processing of personal data supplied by the Client.
- Expat Group’s privacy statement forms part of these Terms and Conditions.
Article 11. Liability of the Client
- The statutory liability of the Client is not limited.
- The Client is liable for damage resulting from incorrect or late information, failure to fulfil obligations, or instructions given. Expat Group is entitled to full indemnification.
Article 12. Liability of Expat Group
- Total liability is limited to the amount paid out by its insurer.
- If no payment is made, liability is limited to the price owed under the relevant Agreement or €500 (if lower). No liability for indirect damage.
- Limitations do not apply in cases of intent or gross negligence.
- The Agreement is concluded with Expat Group as a legal entity. Certain Dutch Civil Code articles are excluded. Third parties engaged may rely on these limitations.
- Any claim expires one year after completion of the work.
Article 13. Suspension, Set-off and Dissolution
- The Client may not suspend or set off payment obligations unless a Consumer.
- In specified situations (bankruptcy, seizure, cessation of business, etc.), all claims become immediately due and Expat Group may dissolve the Agreement without notice.
- In such case, the Client owes a penalty of 25% of the agreed price, in addition to full damages. Article 6:92 of the Dutch Civil Code is excluded.
- Expat Group may require advance payment or security.
Article 14. Applicable Law and Disputes
- Dutch law exclusively applies, excluding the Vienna Sales Convention.
- Disputes shall initially be submitted to the District Court of Zeeland-West-Brabant, location Breda. Expat Group may submit the dispute to another competent court where legally permitted. A Consumer may choose the legally competent court within one month after being notified in writing.
